Stardex Terms of Service

1. Acceptance of Terms
Welcome to Stardex! These Terms of Service ("Terms") govern your access to and use of the Stardex platform, an AI-native ATS and CRM for recruiting and executive search firms, provided by SedimentIQ Corp ("Stardex," "we," "us," or "our"). By accessing or using Stardex, you agree to be bound by these Terms. If you do not agree to these Terms, do not use Stardex.
2. Description of Service
Stardex provides a cloud-based software platform that combines ATS and CRM functionality with AI-powered features to help recruiting and executive search firms manage their candidate and client relationships, streamline their recruitment processes, and automate certain tasks. The platform includes, but is not limited to, candidate sourcing, search management, communication tools, analytics, browser extensions, API access, and AI-assisted features such as semantic search, candidate matching, and workflow automation.
3. Account Registration
To access Stardex, you must create an account. You agree to provide accurate and complete information during registration and keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
SMS Terms of Service
By opting into SMS from a web form or other medium, you are agreeing to receive SMS messages from Stardex. This includes SMS messages for conversations (external). Message frequency varies. Message and data rates may apply. See privacy policy at https://www.stardex.com/privacy. Message HELP for help. Reply STOP to any message to opt out.
4. Use of the Platform
Permitted Use: You may use Stardex only for lawful purposes and in accordance with these Terms.
Prohibited Use: You agree not to:
Use Stardex in any way that violates any applicable law or regulation.
Use Stardex to transmit any unauthorized advertising, promotional materials, or spam.
Attempt to gain unauthorized access to Stardex or its related systems or networks.
Interfere with or disrupt the integrity or performance of Stardex.
Use Stardex to store or transmit any infringing, libelous, or otherwise unlawful or tortious material.
Reverse engineer, decompile, or disassemble Stardex.
Use any robot, spider, or other automatic device to access or use Stardex for any purpose, except through our published APIs in accordance with Section 5.
Remove any copyright, trademark, or other proprietary notices from Stardex.
Use Stardex in a manner that could damage, disable, overburden, or impair the platform or interfere with any other party's use of Stardex.
Attempt to bypass any measures we may use to prevent or restrict access to Stardex.
5. API, Integrations, and Extensions
Stardex provides access to APIs, browser extensions, third-party integrations (such as Zapier), and an MCP (Model Context Protocol) server to extend platform functionality.
Acceptable Use of APIs and Integrations:
You agree to:
Use APIs and integrations only for purposes that are consistent with these Terms and the intended functionality of the Stardex platform.
Comply with any rate limits, authentication requirements, and usage guidelines published in our API documentation.
Not use APIs to build a product or service that competes with Stardex.
Not share API keys or credentials with unauthorized third parties.
Not use APIs to extract, scrape, or bulk-download data for purposes other than your own legitimate business use of the platform.
We reserve the right to throttle, suspend, or revoke API access at any time if we determine that usage violates these Terms or poses a risk to platform stability or security.
Browser Extension: The Stardex browser extension is provided as a companion tool to the platform. It is subject to these Terms and the same data handling practices described in our Privacy Policy.
6. AI-Powered Features
Stardex incorporates artificial intelligence and machine learning capabilities into the platform, including but not limited to semantic search, candidate matching, content generation, and workflow automation ("AI Features").
No Training on Customer Data: We do not use your data to train our AI models or any third-party AI models. Your data remains yours. AI Features are powered by models that are trained on general-purpose datasets, not on customer-specific data.
Accuracy Disclaimer: AI Features are designed to assist and augment your workflows, not replace human judgment. AI-generated outputs, including but not limited to candidate recommendations, search results, summaries, and drafted communications, may contain inaccuracies or errors. You are solely responsible for reviewing, verifying, and approving any AI-generated output before relying on it or sharing it externally. Stardex does not guarantee the accuracy, completeness, or suitability of any AI-generated content.
Third-Party AI Providers:
AI Features are powered by models provided by the following third-party providers, accessed directly through their APIs:
Anthropic (Claude models) — via Anthropic's API
OpenAI (GPT models) — via OpenAI's API and Microsoft Azure OpenAI Service
Customer Data sent to these providers is transmitted securely (encrypted in transit) and is used solely for the purpose of generating real-time responses to your queries within the platform (such as search, matching, and content generation). No Customer Data is stored by these providers beyond the duration of the API request, and no Customer Data is used by these providers to train, fine-tune, or improve their models. These commitments are enforced through our contractual agreements with each provider, which include data processing terms, purpose limitations, and zero-retention policies for customer inputs and outputs. Details on subprocessors, including AI providers, are available in our Data Processing Addendum and upon request at support@stardex.ai.
Changes to AI Features: AI Features may evolve over time. We may modify, add, or discontinue specific AI capabilities with reasonable notice. We will communicate material changes to AI Features via email or in-platform notifications.
7. Fees and Payment
Access to Stardex is subject to payment of applicable fees as outlined on our pricing page or in your Order Form.
You agree to pay all fees in accordance with the payment terms presented to you at the time of purchase.
All fees are non-refundable, except as expressly provided in these Terms, your Order Form, or as required by law.
We use Stripe to process payments. You must comply with Stripe's terms of service as well.
8. Intellectual Property
Stardex and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by SedimentIQ Corp, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use Stardex solely for your internal business purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our platform, except as necessary for your permitted use of Stardex.
Your Data:
You retain all right, title, and interest in and to the data you input into Stardex ("Customer Data"). You grant us a limited license to use Customer Data solely to provide the Services to you. To the extent we use Customer Data to improve the Services (such as platform performance, feature development, or bug fixes), we do so only in an aggregated and anonymized form that cannot be used to identify any individual data subject or Customer. We do not use identifiable Customer Data for any purpose other than delivering the Services.
9. Service Availability and SLA
We use commercially reasonable efforts to make Stardex available 24/7, excluding scheduled maintenance and circumstances beyond our reasonable control. We will provide reasonable advance notice of scheduled maintenance when possible.
For Customers on annual contracts, Stardex commits to a Service Level Agreement ("SLA") as defined in the applicable Order Form or SaaS Services Agreement. SLA terms, including uptime commitments and remedies, are specified in the Customer's contract.
For all other Customers, Stardex does not guarantee any specific uptime percentage unless separately agreed to in writing.
9a. Security
We take the security of Customer Data seriously. Stardex maintains the following security practices:
SOC 2 Type II Compliance: Stardex has completed a SOC 2 Type II audit. Customers may request a copy of the most recent audit report by contacting support@stardex.ai. Reports are provided under NDA.
Encryption: All data is encrypted in transit (TLS 1.2+) and at rest (AES-256).
Access Controls: Access to Customer Data is restricted to authorized personnel using role-based access controls and multi-factor authentication.
Incident Response: Stardex maintains a security incident response plan. In the event of a data breach affecting Customer Data, Stardex will notify the affected Customer without undue delay and in no event later than 72 hours after becoming aware of the breach. Notification will include the nature of the breach, categories of data affected, approximate number of records involved, and steps taken to contain and remediate the incident.
Vulnerability Management: We conduct regular vulnerability assessments and penetration testing to identify and address security risks.
Employee Security: All employees with access to Customer Data undergo background checks and security awareness training.

10. Termination
We may terminate or suspend your account and access to Stardex immediately, without prior notice or liability, for any reason, including if you breach these Terms. You may terminate your account at any time by contacting us at support@stardex.ai. Upon termination, your right to use Stardex will immediately cease. We will make your Customer Data available for export for ninety (90) days following termination. After that period, we may delete stored Customer Data. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Disclaimer of Warranties
Stardex is provided "as is" and "as available" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that Stardex will be uninterrupted, error-free, or secure. Without limiting the foregoing, we do not warrant the accuracy of any output produced by AI Features.
12. Limitation of Liability
In no event shall Stardex, its officers, directors, employees, or agents, be liable to you for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Stardex, including but not limited to damages arising from reliance on AI-generated outputs, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or Stardex shall not exceed the amount paid by you to us during the twelve (12) months preceding the claim.
13. Indemnification
You agree to defend, indemnify, and hold harmless Stardex, its officers, directors, employees, and agents, from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of Stardex or your violation of these Terms.
14. Data Processing
If you process personal data through Stardex, our Data Processing Addendum ("DPA") at [link to DPA] applies and is incorporated into these Terms. The DPA sets out the terms under which we process personal data on your behalf in compliance with applicable data protection laws, including the EU General Data Protection Regulation ("GDPR"), the UK GDPR, and other applicable data protection legislation.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
16. Changes to These Terms
We may modify these Terms at any time. We will post the updated Terms on our website and update the "Last Updated" date. We will provide at least 30 days' notice for material changes via email or in-platform notification. Your continued use of Stardex after the effective date of the updated Terms constitutes your acceptance of the changes.
